| 4. | Compensation for Damage | |

| 4-2. | If you violate the Article 3, you shall pay all damages, costs and expenses of MODECH, Partners, other users or audiences who suffers damages because of your attack, infringement, and illegal reconstruction against all programs, software, etc. | |
| 5. | Temporary Suspension of Services | ||
| 5-1. | In the following circumstance, MODECH may temporary suspend This Site or the Services without prior notice to users or audiences. Therefore, MODECH accept no liability for any damage of users or audiences arising directly or indirectly from the temporary suspension. | ||
| (1) | in case that MODECH do maintenance, inspection, or repair of systems on This Site; | ||
| (2) | in case where troubles of network or the Server occurs; | ||
| (3) | if there is a possibility that This Site or the Server may be attacked by advanced hacking or be infected by computer viruses, or in case where the attack or the infection has already occurred; | ||
| (4) | in case where fire, blackout, insurgence, or for any reason unable to provide the Services occurs; | ||
| (5) | in case where earthquake, Tsunami, thunderbolt, or other convulsion of nature occurs and it prevents MODECH from providing the Services; | ||
| (6) | in case where MODECH requires the suspension of the Services because of any operational or technical reasons; | ||
| 5-2. | In case where MODECH interprets that it is difficult to resumption of the Services because of any reason of the preceding section, notwithstanding the provision of article 6, MODECH terminates the Services without any notice to users or audiences. | ||
| 6. | Termination of Services | |
| 6-1. | MODECH makes notice to users or audiences 1-month prior to the termination. | |
| 6-2. | The notice of preceding section should be by displaying on This Site. | |
| 6-3. | MODECH accept no liability for any damage of users or audiences arising directly or indirectly from the termination. | |
| 7. | Agreement Jurisdictional Court, Governing Law | |
| 7-1. | In case where dispute among users or audiences of This Site and MODECH arising association with this Terms, other terms or guidelines on This Site, both MODECH and the users shall confer with each other in good faith. | |
| 7-2. | In case where the dispute of preceding section does not resolve by the conference, both MODECH and the users agree that the Tokyo District Court shall have competent and exclusive jurisdiction for the first instance over any lawsuit in connection with This Site. | |
| 7-3. | You acknowledge and agree that these Terms, other terms and guidelines on This Site are governed by and construed in accordance with the Laws of Japan. | |
| 7-4. | MODECH provides you with translations of the Japanese language versions of These Terms, other terms and guidelines on This Site. You shall agree that the translations shall be provided for users’ or audiences’ convenience only, and that the Japanese language versions of the Terms will govern your relationship with MODECH. | |
| 7-5. | MODECH does not warrant or guarantee that This Site will be appropriate or legal in your country. MODECH strongly recommends that you shall observe laws or rules in your location. | |
| 8. | General Rules of Internet Users | |
| 8-1. | You shall be solely responsible for any content which you send or receive while using the Services. | |
| 8-2. | MODECH provides you with the Services via the internet. You shall set up and operate every device, communication tool, software, etc. that you connect to the internet on your own responsibility and expense. MODECH accepts no liability for your setting up or operating. | |
| 8-3. | You shall prepare every PC, mobile terminal, browser or software which complies with the versions recommended by MODECH to see or use every information or contents in This Site on your own responsibility and expense. | |
| 8-4. | You acknowledge and agree that it potentially costs packet communication fees, or telecom bills, or any expense for communication, to access to This Site or using of the Services depending on your environment for communication or usage, and that you shall bear all of the expenses. | |
| 8-5. | You acknowledge and agree that you are potentially unable to browse or use of any part of This Site or the Services. | |
| 9. | Change of These Terms | |
| 9-1. | MODECH may make changes to These Terms from time to time. MODECH makes notice to users or audiences 14 days prior to the change. The notice should be by displaying on This Site. | |
| 9-2. | Notwithstanding the preceding section, in case where the changes to These Terms are caused by matters of urgency, MODECH is able to make the changes with only displaying on This Site after the change, and you acknowledge and agree about the method of change. | |
